Company formation

Company formation in Finland, in English

We help you start a sole trader business (toiminimi) or a limited company (Oy) in Finland, in English or Hindi: we compare the forms with your numbers so you can decide, fill in the start-up notification with you, help you set up the tax registrations and the Suomi.fi mandates, and keep the books from the first month.

What registration costs in 2026

The registration fees from 1 January 2026, charged by the Finnish Patent and Registration Office (PRH). They carry no VAT.

RegistrationFee
Toiminimi, Tax Administration only0 €
Toiminimi, also in the Trade Register75 €
Oy, guided online package300 €
Oy, ordinary start-up notification400 €

The guided package suits an Oy whose standard articles are enough, and every shareholder must be an adult with a Finnish personal identity code and Suomi.fi identification. In other cases, for example when a shareholder has no Finnish personal identity code, the company is registered with the ordinary start-up notification. Our article on company registration costs has the details.

The steps

  1. Choose the form. A toiminimi is the cheapest to start and run; an Oy separates your own money from the company's and can be taxed more lightly once profits grow. We compare them with your figures and you decide; our article on toiminimi or Oy shows how.
  2. File the start-up notification at ytj.fi. It is one form for the Trade Register and the Tax Administration, and the prepayment register, the VAT register and the employer register are requested on the same notification at no extra cost. An Oy must be registered within three months of signing the memorandum of association, or the formation lapses.
  3. Notify the beneficial owners of an Oy, anyone holding more than 25 % of the shares or votes. The notification is free.
  4. Open a business bank account. For a founder who has just moved to Finland this can take longest; see our article on business banking for a foreign founder.
  5. Check whether YEL applies to you. A self-employed person needs YEL pension insurance once their YEL income is at least 9 423.09 euros a year in 2026 and the other conditions are met; our article on YEL has them.
  6. Grant us the Suomi.fi mandate and send the first month's receipts.
