Company registration costs in Finland 2026: toiminimi and Oy

In 2026, registering a sole trader (toiminimi) costs nothing if you register only with the Tax Administration, and 75 euros if you also register in the Trade Register. A limited company (Oy) costs 300 euros through the guided online package at ytj.fi and 400 euros with an ordinary start-up notification. An Oy can be founded with no share capital at all. The registration fee is the smallest cost of starting; the running costs matter more.

The fees in 2026

These are the Finnish Patent and Registration Office (PRH) processing fees in force from 1 January 2026. They carry no VAT.

The start-up notification is one form for both authorities. The prepayment register, the VAT register and the employer register are requested on the same notification, and joining them costs nothing.

Toiminimi: free, or 75 euros

A sole trader can register as a business operator with the Tax Administration only, free of charge, and receives a business ID. Registering in the Trade Register as well costs 75 euros and protects your business name. For most sole traders the Trade Register is optional; it becomes compulsory in special cases, such as when the Accounting Act requires you to file your financial statements with the register, or when you live permanently outside the EEA and need a PRH permit.

Oy: 300 or 400 euros, and share capital from zero

The guided online package costs 300 euros. The service writes the founding agreement and standard articles of association for you, the shares have no subscription price, and the share capital is 0 euros. It suits a company whose standard articles are enough, and every shareholder must be an adult with a Finnish personal identity code and Suomi.fi identification. The package must be completed within 60 days, or it lapses.

Everything else, including an Oy with share capital, its own articles of association or a shareholder without a Finnish personal identity code, goes through the ordinary start-up notification at 400 euros.

An Oy must also notify its beneficial owners, anyone holding more than 25 % of the shares or votes, to the Trade Register. That notification is free, but ignoring PRH's reminder costs a 300-euro negligence fee.

What else to budget for

The registration fee is paid once. These come back every month or year:

  • YEL pension insurance. Compulsory for a self-employed person once YEL income is at least 9 423.09 euros a year. In 2026 the contribution is 24.40 %, so the minimum is about 2 299 euros a year, or about 1 793 euros with the 22 % discount that first-time entrepreneurs get for their first 48 months.   • Bookkeeping and the year-end. Every business must keep books under the Accounting Act, and an Oy must also prepare financial statements and file them with the Trade Register. See our article on financial statement deadlines.

Which form, then?

The fee rarely decides it. A toiminimi is the cheapest to start and to run; an Oy separates your own money from the company's and can be taxed more lightly once profits grow.
